Meeting rules for Dansk El- Tavle Forening

It is the strict policy of Dansk El- Tavle Forening to comply with the letter and spirit of the operative legislation, including Danish as well as foreign competition law.

The purpose of Dansk El- Tavle Forening is i.a. to safeguard the interests of the members in international and national issues, as well as the interests of the members in other parts of the value chain. Dansk El- Tavle Forening will try to influence the development within market conditions, industrial development policy, authorization policy, as well as initiate, coordinate and support relevant marketing approaches, and education.

Dansk El- Tavle Forening shall not be used as a forum for discussions of business secrets or other aspects which constitute competition parameters.

Dansk El- Tavle Forening’s meetings must always be conducted to avoid even the appearance that its members are taking common action which might eliminate, prevent, or in another way restrict free competition.

Dansk El- Tavle Forening’s meeting rules prohibit any discussions or exchange of information that might constitute or imply an illegal agreement or concerted practice concerning:

1) Prices or price factors including rebates and reductions.
2) Costs and demand structure.
3) Turnover, profits, and profit margins.
4) Production and sales.
5) Market shares and sales territories.
6) Investments and marketing plans.
7) Tender business, bidding, or refraining from bidding.
8) Credit terms, interest terms or any other terms or conditions of sales, and/or
9) Selection, rejection or termination of customers or suppliers.

The prudent rule to be followed at all Dansk El- Tavle Forening meetings and gatherings is that no commercial topics outside the scope of Dansk El- Tavle Forening’s mission should be discussed. The meeting rules must also be followed on breaks or before or after meetings.

Before each meeting a detailed agenda stating the items to be discussed must be prepared. An agenda for each meeting must be circulated prior to the meeting. At the meeting only items on the agenda can be discussed.  Basically, significant items cannot be discussed under “Miscellaneous” as such items must be on the agenda as a separate item. Such items must be put in the official minutes. Official minutes must be produced for each meeting under the guidance of Dansk El- Tavle Forening’s staff.
